Tax efficient business structuring

Whether you want to grow your business within the UK or internationally, UK tax issues still need to be managed and monitored to ensure your business is successful without suffering disproportionately high tax costs unnecessarily.

"Early planning for business growth"

Our team has many years of experience of the key tax issues that most frequently create disruption and expense for businesses. Early planning for business growth and perhaps international expansion will ensure that such risks are minimised and full UK tax compliance is achieved without unintended costs.

Growing in the UK

For domestic businesses the key considerations involve managing issues around the status of companies themselves as trading or investment entities to ensure they and their shareholders can take advantage of key reliefs, maximising reliefs for expenditure in the relevant business sector and matching the ring-fencing of commercial risk with the potential tax efficiency of a group structure.

We are also able to offer M&A advice on exit and pre-sale restructuring advice viewing things from the corporate and manager/shareholder perspectives.

Growing Internationally

"achieving tax efficient returns"

The key to achieving tax efficient returns for businesses considering international expansion is to develop a structure that is both commercially driven and practical to run but designed to access the tax benefits in different jurisdictions.

Far too often we have seen clients advised to adopt a business structure that in theory delivers tax efficient returns but in practice cannot be implemented effectively over a sustained period of time. The risk is that mistakes or misunderstandings will open the door to HMRC to tax some part of the structure’s profits by arguing that it is UK resident, has a UK permanent establishment or because it falls fowl of transfer pricing rules.

Our approach

We adopt a very practical hands-on approach to ensure that you understand exactly what it will mean to have operations in other jurisdictions on a practical day to day basis, the level of substance required if a low tax jurisdiction is involved and any risks from a tax perspective.
